This Amendment No. 1 is being filed because Amgen Inc. is no longer subject to the reporting requirements of Section 13(d) of the Security Exchange Act of 1934 as a result of the disposition of the 1,071,894 shares of common stock ($.01 par value) of Techne Corporation (the "Issuer") previously held by Amgen Inc. (the "Shares") pursuant to a sale of the Shares on the open market on April 15, 1998 for $17.00 per share.
